1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RevoScale Inc. ("RevoScale," "we," "us," or "our") governing your access to and use of the revoscale.io website, platform, browser extensions, APIs, and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

4. Subscriptions and Payment

RevoScale offers various subscription plans as described on our pricing page. Prices are subject to change with reasonable notice. All fees are stated in US dollars unless otherwise specified.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. Payment is due at the beginning of each billing cycle. All payments are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Free Tier

RevoScale may offer a free tier with limited functionality. We reserve the right to modify, suspend, or discontinue the free tier at any time without notice.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial billing periods.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited spam, phishing, or abusive communications
• Harvest or collect personal data without proper consent or legal basis
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use the Service for any purpose that is harmful, fraudulent, or deceptive
• Resell, redistribute, or sublicense the Service without our written consent
• Reverse engineer, decompile, or disassemble any part of the Service

6. Data and Content

6.1 Your Data

You retain ownership of all data you upload to the Service ("Your Data"). You grant RevoScale a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service.

6.2 Enrichment Data

Data provided through our enrichment services is sourced from publicly available information and third-party data providers. While we strive for accuracy, we do not guarantee that enrichment data is complete, accurate, or current. You are responsible for verifying data and ensuring your use complies with applicable laws, including data protection and anti-spam regulations.

6.3 Compliance

You are solely responsible for ensuring your use of the Service, including any outreach or data processing activities, complies with all applicable laws and regulations, including GDPR, CAN-SPAM, CCPA, and any other relevant data protection laws.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of RevoScale Inc. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of RevoScale.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall RevoScale, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. RevoScale does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Indemnification

You agree to defend, indemnify, and hold harmless RevoScale and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Delaware.

13. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use the Service after revisions become effective, you agree to be bound by the revised Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
